I have been representing all sorts of clients in civil, criminal, writ, company, banking, commercial, employment, and corporate litigations before the Hon’ble High Court Division of Supreme Court of Bangladesh and before the Judge’s Courts of Bangladesh, few such organizations are Petro-Bangla, Bangladesh Petroleum Corporation, BAPEX, IBCS-Primax Software (Bangladesh) Limited and more.
I have been carrying out different kind of legal works for numerous number of well-known businesses, corporate and banking entities such as Supreme Pharmaceutical Limited, Rupali Bank Limited, Shams Jute and Knitex Limited, Soil Tech Limited, Bangladesh Brands, FSB (Future Solution For Business) Limited, Amar Desh Amar Gram, Sheba Platform Limited, X Ordinary Management Limited, Green Sweater Limited, Hai & Heirs Agro Limited, Performance Auto Limited, McDonald Steel Building Bangladesh Limited, Triple Zed Tea Estate Private Limited and many more.
The legal work encompasses assisting all the legal assistance seekers in their all kind of corporate legal affairs and maintaining contact between the company and the chambers, including but not limited to writing legal opinions on a variety of matters, drafting all sorts of contracts, agreements, advising on contractual matters, additionally, drafting/reviewing corporate document relating to various kinds of transaction and the affairs related to the Registrar of Joint Stock Companies and Firms (“RJSC”);
Assisting the learned senior in preparing and analyzing legal implications of corporate, commercial and contract related activities undertaken by the Chambers;
Provide legal guidance to the clients including attending meeting with the business partners, interviewing, conferencing, negotiating, and advising the clients on different legal aspects;
Furnish legal opinion on different legal subject matter, especially on contracts, agreements, deeds, licenses and approvals required in relation to multi-national companies, government and non-government organizations;
Draft documents such as Loan Syndication, Hypothecation, Loan Agreements, Credit Facility Agreements, Master Service Agreements, Escrow Account Agreements, Employment Contracts, Joint Venture Agreements, Shareholders Agreements, Franchise Agreements, Share Transfer Agreements, Trade Mark and Patent related Agreements;
Providing legal assistance to national and international companies for registration with Register of Joint Stock Companies and Firms (RJSC);
Prepare and draft all sorts of civil and criminal litigation related legal notice, applications and/or petitions, bail petitions, civil revision petition, appeal and more which needs to be filed in the District Court and in the Hon’ble High Court Division of the Supreme Court of Bangladesh;
Do legal research time to time from various sources, includes acts of parliament, paper based sources, legal journals and internet based data; and
To train the associated junior lawyers in the area of our legal system and procedure for adherence to the legal procedures.

Major Role and Task:
I have participated and contributed in the Merger and Acquisition phase of Grameenphone IT Ltd. (GPIT), a leading information technology company in Bangladesh by Accenture Holding B.V. a leading globally renowned company from March 2013 till the completion of the Transition from the ownership of Grameenphone Ltd. to Accenture Holdings B.V.
I was assigned to act as legal expert for guiding the company as per the law, which had ultimately facilitate the smooth operation of the company as far as the legal matters are concern, such as below in substance
- Oversaw all legal & regulatory requirements at GPIT and ensure compliance and business continuity;
- Managed relationships with key stakeholders within Bangladesh;
- Oversaw the business as a legal expert as well as business advisor and contribute to effective decision making;
- Anticipated changes in the business environment and recommend course of action for GPIT;
- Contributed to development of GPIT’s Strategy; and
- Built a capable and motivated team and create a high performance team environment.
Below are the details of tasks that I was assigned to perform:
- Guide, make aware and oversee all processes at GPIT to ensure compliance to all legal & regulatory requirements for smooth operation of the company;
- Maintaining connection with other industry associations, market players and key officials within Bangladesh in influencing new regulations to improve IT industry environment;
- Act as a crucial point among various stakeholders and work towards eliminating challenges faced by the IT industry of Bangladesh;
- Create a positive image and brand perspective for GPIT among important stakeholders (government, civil society, industry, academic institutions);
- Support the Chambers of Commerce (Bangladesh), Ministry for ICT, Bangladesh Computer Council, BASIS, BCS and other important stakeholders through knowledge sharing and updating;
- Ensure effective and regular communication including media communication;
- Interpret applicable laws, rulings and protect business interests by ensuring minimum legal exposure arising from current and future legislations;
- Monitor legal compliance and facilitate seamless flow of information to Management;
- Guide the development of standard drafts and contracts with necessary updates and ensure consistent implementation thereof by all other functions;
- Respond to litigations and other legal matters in a timely manner and protect the brand of GPIT;
- Identify potential risks, prepare tracking and reporting systems, guidelines for compliance committees, relevant training etc. to mitigate risks;
- Implement changes in the business environment and recommend actions/ policies to meet such changes;
- Analyze prospective projects/ ventures in light of the legal guidelines, provide comments and suggestions to the Management Team of GPIT with respect to the relevant legal, statutory and secretarial issues and contribute to effective decision making;
- Establish Stakeholder strategy for GPIT (eliminating challenges, creating business opportunities) and work with the Management team to define and set milestones for the business;
- Recruit the right talent and develop it by providing guidance and coaching;
- Support and guide focused training, knowledge management initiatives and structured exposure to best practices;
- Establish individual performance expectations and regularly review individual performance and recommend appropriate rewards and recognition; and
- Drive organization and culture building initiatives and support cascade of values/ desired behaviors across the organization.

I was assigned to act as an expert for managing and implementing the company policy, procedure and provide legal advice on the company legal matters, such as
- Guidance on Bangladeshi commercial laws;
- Guidance on international trade laws and laws of other countries;
- Active member of bidding projects of GPIT;
- Educating value chain and ensuring alignment with stakeholders; and
- Preparing standard commercial contracts.
Below are the details of tasks that I was assigned to carry out:
- To be responsible to provide legal guidance to the company for successful participation in the national and international bidding process that includes perusing the bid documents, researching the relevant laws of the applicable country, assessing legal risk and benefits, guiding for the preparation of the bid proposal and to provide all required legal advice for completion of the process and assist to win the contract;
- To act as an expert on commercial law to ensure legal compliance that encompasses to provide guidance on day to day commercial law related matters, to suggest compliant business process;
- To establish proper legal framework to ensure sustainable business with the local and foreign partners, vendors & customers, that includes, drafting various agreements with external stakeholders, negotiating regarding the agreement, vetting the agreement, to provide guidance on execution and compliance of the same;
- To lead to resolve all commercial disputes and problems that covers perusing all the relevant documents for risk assessment, to suggest alternatives for risk minimization;
- To standardize existing commercial agreement templates to make the same of international standard that comprises to collect and archive existing agreements, to review existing agreements, analyse international law and practice, to suggesting modification and advise for implementation of the same; and
- To conduct workshop and training as resource person which involves educating, making aware the stakeholders by way of advising and arranging training session and workshops on various legal issues.
